Dialog-Airtel share swap details out

Dialog Axiata yesterday shared further details on the share swap with Bharti Airtel.
Following inking the deal with Bharti Airtel last month for a merger, the share swap will be executed at a ratio of 5,041 Dialog Axiata PLC shares for every 642,966 shares held by Bharti Airtel Limited in Bharti Airtel Lanka (Private) Limited.


In a filing to the Colombo Stock Exchange, Dialog Axiata said that under the proposed transaction, Dialog would acquire one hundred twenty-one billion, five hundred thirteen million, six hundred forty-six thousand, seven hundred seventy-one (121,513,646,771) ordinary shares in Bharti Airtel Limited from the selling shareholder. 
This will be for consideration to be paid by the issuance of nine hundred and fifty-two million six hundred and ninety-four thousand six hundred and eighty-nine (952,694,689) new ordinary voting shares in Dialog Axiata to the selling shareholder. 
Pursuant to the proposed transaction, Bharti Airtel will become a wholly-owned subsidiary of Dialog Axiata. 
Following the completion of the said acquisition, Dialog Axiata proposes to amalgamate itself with Bharti Airtel under Section 242 of Companies Act No. 7 of 2007, with the former remaining as the amalgamated entity.  The amalgamation is subject to relevant corporate and regulatory approvals.
